Please read these Terms & Conditions carefully before using Willow Pixel Ventures software.

ACCEPTANCE OF TERMS

By accessing, downloading, installing, or using our software, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our software.

1. Definitions

In these Terms & Conditions, the following terms shall have the meanings set forth below:

  • "Software" means the Willow Pixel Ventures 3D Graphic & Motion Design software application, including all updates, patches, and related documentation.
  • "License" means the rights granted to you to use the Software under these Terms.
  • "User Content" means any 3D models, animations, textures, project files, or other content created by you using the Software.
  • "Lifetime License" means perpetual use rights for the major version purchased, excluding future major version releases.
  • "Device" means a single computer, workstation, or virtual machine on which the Software is installed.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Willow Pixel Ventures grants you a limited, non-exclusive, non-transferable license to use the Software.

Duo License

• 2 Users (named individuals)
• 2 Devices per user
• Lifetime license for version 4.x
• Basic support included
• 5GB cloud storage

Team License

• 4 Users (named individuals)
• 5 Devices per user
• Lifetime license for version 4.x
• Priority support included
• 10GB cloud storage
• Team collaboration tools

Activation & Validation

  • License activation requires internet connection
  • Periodic license validation may be required
  • License keys are tied to individual users and cannot be shared
  • Maximum device activations as per your license tier
Important: Our "Lifetime License" refers to the major version purchased (e.g., Version 4.x). Major version upgrades (e.g., Version 5.0) may require separate purchase.

3. Restrictions

You may NOT:

  • Copy, modify, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove any proprietary notices or labels from the Software
  • Transfer, sublicense, lease, lend, or rent the Software to third parties
  • Use the Software for any illegal purpose or in violation of any laws
  • Bypass any license activation or validation mechanisms
  • Use the Software to create content that infringes on third-party rights
  • Exceed the number of users or devices specified in your license

Commercial Use

All licenses permit commercial use of content created with the Software, subject to the following:

  • You may use the Software to create content for clients
  • You may sell or distribute content created with the Software
  • You may not resell the Software or include it in products you distribute
  • You may not use the Software as part of a service bureau or outsourcing service
Warning: Violation of these restrictions may result in immediate license termination without refund and potential legal action.

4. Payment & Pricing

All prices are in British Pounds (£) and exclude applicable taxes unless stated otherwise.

Payment Terms

  • Payment is required before license activation
  • We accept major credit cards and PayPal
  • All payments are processed through secure third-party providers
  • Prices are subject to change without notice for new purchases
  • Existing license holders are not affected by price changes

Refund Policy

We offer a 30-day money-back guarantee subject to the following conditions:

5. Account Registration

To use certain features of the Software, you must register for an account.

Account Responsibilities

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized account access
  • You may not create multiple accounts to circumvent license limitations
  • Accounts are personal and may not be transferred or sold

Account Termination

We reserve the right to suspend or terminate accounts for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of applicable fees
  • Extended periods of inactivity (12+ months)

6. Intellectual Property

All intellectual property rights in the Software remain the property of Willow Pixel Ventures.

Software Ownership

  • The Software is licensed, not sold
  • We retain all copyrights, patents, trademarks, and trade secrets
  • You receive only the rights explicitly granted in these Terms
  • No implied licenses are granted

User Content Ownership

You retain all rights to User Content you create with the Software:

  • We claim no ownership rights over your User Content
  • You are solely responsible for your User Content
  • You grant us limited rights to use User Content for support purposes only
  • You warrant that your User Content does not infringe third-party rights
Creative Freedom: You own what you create. Use the Software to bring your imagination to life without worrying about ownership claims from us.

7. User Content

You are solely responsible for all User Content created with the Software.

Content Guidelines

  • User Content must comply with all applicable laws
  • User Content must not infringe intellectual property rights
  • User Content must not contain malware, viruses, or harmful code
  • User Content must not promote illegal activities or hate speech
  • User Content must respect privacy rights of individuals

Content Storage & Backup

  • Cloud storage is provided as a convenience, not a backup service
  • You are responsible for maintaining backups of your User Content
  • We are not liable for loss or corruption of User Content
  • Cloud storage limits apply based on your license tier
  • We reserve the right to remove inappropriate User Content
Data Responsibility: Always maintain local backups of your projects. While we implement robust systems, we cannot guarantee against data loss.

8. Warranties & Disclaimers

The Software is provided "as is" without warranties of any kind.

Limited Warranty

We warrant that:

  • The Software will substantially conform to the documentation for 90 days from purchase
  • We will provide support in accordance with your license tier
  • The Software does not contain malware or viruses at time of download

Disclaimers

To the maximum extent permitted by law, we disclaim:

  • All implied warranties of merchantability and fitness for a particular purpose
  • Warranties that the Software will meet your specific requirements
  • Warranties that the Software will be uninterrupted or error-free
  • Warranties regarding third-party hardware or software compatibility
  • Warranties regarding the accuracy of rendered outputs

9. Liability Limitations

Our liability to you is limited as described below.

Direct Damages Cap

In no event shall our total liability to you for all damages exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

Excluded Damages

We are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of substitute goods or services
  • Damages related to User Content loss or corruption
  • Third-party claims against you
Important Exception: These limitations do not apply to liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10. Termination

These Terms remain in effect until terminated.

Your Rights

You may terminate these Terms at any time by:

  • Ceasing all use of the Software
  • Destroying all copies of the Software in your possession
  • Requesting account deletion (does not affect refund eligibility periods)

Our Rights

We may terminate these Terms immediately if you:

  • Breach any provision of these Terms
  • Use the Software illegally or fraudulently
  • Become bankrupt or insolvent
  • Fail to pay applicable fees

Effects of Termination

  • Your license to use the Software ends immediately
  • You must uninstall and destroy all copies of the Software
  • We may disable your license key and account access
  • Sections on Intellectual Property, Liability, and Governing Law survive termination

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Dispute Resolution

  • Any disputes shall first be attempted to be resolved through good faith negotiations
  • If negotiations fail, disputes shall be submitted to mediation
  • If mediation fails, disputes shall be settled by courts in London, UK
  • You agree to submit to the jurisdiction of these courts

Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class actions, class arbitrations, or representative actions.

12. Amendments

We reserve the right to modify these Terms at any time.

Modification Process

  • We will post updated Terms on our website with a new "Last Updated" date
  • For material changes, we will provide 30 days' notice to registered users
  • Your continued use after changes constitutes acceptance
  • If you disagree with changes, you must stop using the Software

By using Willow Pixel Ventures software, you acknowledge that you have read these Terms & Conditions, understand them, and agree to be bound by them. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.
